During the summer of 2016, maconda assisted the investor NORD Holding in its acquisition of Parador GmbH & Co. KG, a renowned manufacturer of various types of flooring located in Coesfeld close to Münster. Our extensive expertise with consumer goods and retail as well as our many years of experience in commercial due diligence consulting convinced NORD Holding to turn to maconda for help with this challenging project.
Parador is a leading manufacturer of premium systems for floor and wall design. Its product range includes laminated, parquet and panel flooring as well as elastic flooring, which are manufactured at its German headquarters in Coesfeld as well as in Güssing, in the Austrian region of Burgenland. For 2016, Parador and its 550 employees are slated to generate sales of more than €140 million. Its exports currently account for more than 50% of that – a share that is to be increased in the future. In October 2016, NORD Holding Unternehmensbeteiligungsgesellschaft mbH acquired all shares to Parador GmbH & Co. KG as well as its subsidiaries. Hüls Group from Stadtlohn in Westfalia is the vendor.
The commercial due diligence assessment focused primarily on providing a detailed analysis of the special niche markets for premium flooring. This included analysing various distribution channels, covering less transparent specialty retailers alongside DIY stores. A special challenge consisted of segmenting demand for flooring in different foreign markets in spite of the fact that the underlying data was often subject to idiosyncratic specifications of individual countries, making them difficult to compare. maconda used targeted expert and customer interviews in the key regions to provide significant insights. Furthermore, maconda evaluated the future prospects for vinyl flooring in Germany, Austria and Switzerland, taking into account the development of demand for laminated and parquet flooring. Finally, maconda’s commercial due diligence assessment included assessing medium and long-term trends, performing a comprehensive analysis of competition and validating the business plan.
