maconda assists BPE with a vendor due diligence on the sale of ophthalmology specialist Domilens to Polytech

As one of the most active providers of commercial transaction services in the German-speaking region, we can once again look back on some exciting mandates, various of them in the healthcare market. In particular, the highly attractive segments of medical technology and trade, "aging society" as well as care and social economy are worth mentioning. Our healthcare experience was used by our clients in strategy projects as well as in transactions, the latter on both the buy and sell side.
Hamburg-based Domilens is the leading manufacturer-independent distributor of ophthalmic surgical products in Germany, alongside Polytech. The range includes intraocular lenses, viscoelastics, irrigation solutions, consumables and phaco devices. These products are used in the most important ophthalmic surgical procedures. Customers are mainly practicing surgical ophthalmologists and private outpatient eye clinics.
After maconda had already supported the previous shareholder BPE Unternehmensbeteiligungen in the acquisition of Domilens in 2010, we accompanied BPE this time on the seller side. The focus was on a thorough analysis of the market, the regulatory framework and the company. The aim of the so-called vendor commercial due diligence was to provide potential investors with simpler and faster thematic access to the complex subject matter. To this end, we examined, among other things, the very heterogeneous contractual landscape in the German healthcare system, highlighted the different billing modalities and reimbursement practices, and discussed the implications for future business.
Back in 2011, maconda provided advice and support to the Berlin-based investment company Odewald KMU in the acquisition of the wholesaler Polytech, where it looked at a number of foreign markets in addition to Germany. Polytech has now acquired Domilens. This merger creates the largest manufacturer-independent service provider in the field of ophthalmic surgery in Europe.
Inpatient and outpatient care and intensive care
In 2013, we also supported various mandates in the multi-layered and, for various reasons, highly complex care sector. For example, the experts of the maconda team were involved in the sales processes of the leading German provider of outpatient intensive care as well as a leading private operator of retirement and nursing homes. The latter in particular should be highlighted here as one of the largest transactions in the inpatient care market in Germany in the recent past.
In order to be able to competently assess both outpatient and inpatient care facilities, maconda’s experts reviewed extensive business segment-specific data down to the micro level (e.g. population development, occupancy of care facilities, catchment area, purchasing power, etc.) and comprehensively collected and analyzed benchmarks as well as best practices. Our clients benefited from this in the context of commercial due diligences, but also in strategy projects.
Social Economy
In Switzerland, we successfully advised on an undisclosed transaction in the extended social economy. This was a highly regulated, sensitive market. Here, our team once again demonstrated its expertise in assessing highly state-controlled markets.
