maconda supports BPE with a Vendor Due Diligence in the sale of ophthalmology specialist Domilens to Polytech

As one of the most active providers of Commercial Transaction Services in the German-speaking region, we can look back on several exciting engagements, many of which were in the healthcare market. Particularly noteworthy here are the highly attractive segments of medical technology and trade, the “aging society,” and the care and social economy. Our healthcare experience has been utilized by our clients in strategy projects as well as in transactions, the latter on both the buyer and seller side.

Domilens, based in Hamburg, is, alongside Polytech, the leading manufacturer-independent distributor of ophthalmic surgical products in Germany. Its offerings include intraocular lenses, viscoelastic substances, irrigation solutions, consumables, and phaco devices. These products are used in the most important eye surgical procedures. Clients are primarily established ophthalmologists performing surgery and private outpatient eye clinics.

After maconda supported the previous shareholder BPE Unternehmensbeteiligungen in the acquisition of Domilens in 2010, we this time advised BPE on the seller side. The focus was on a thorough analysis of the market, regulatory framework, and the company. The goal of the Vendor Commercial Due Diligence was to provide potential investors with easier and faster thematic access to the complex subject matter. To achieve this, we, among other things, examined the very heterogeneous contractual landscape in the German healthcare system, highlighted the different billing modalities and reimbursement practices, and discussed their impact on future business.

Already in 2011, maconda assisted the Berlin-based private equity firm Odewald KMU with advice and support in the acquisition of the wholesaler Polytech, examining several foreign markets in addition to Germany. Polytech has now acquired Domilens. This merger creates the largest manufacturer-independent service provider in ophthalmic surgery in Europe.

Inpatient and Outpatient Care and Intensive Care

In 2013, we also managed various engagements in the complex care sector, which is multifaceted and highly complex for various reasons. For example, maconda’s team of experts was involved in the sales processes of the leading German provider of outpatient intensive care and a leading private operator of nursing homes and care facilities. The latter, in particular, stands out as one of the largest transactions in the inpatient care market in Germany in recent history.

To competently assess both outpatient and inpatient care facilities, maconda’s experts reviewed extensive business-segment-specific data down to the micro-level (e.g., demographic development, occupancy rates of care facilities, catchment area, purchasing power, etc.) and comprehensively collected and analyzed benchmarks and best practices. Our clients benefited from this in the context of Commercial Due Diligence, as well as in strategy projects.

Social Economy

In Switzerland, we successfully advised on an undisclosed transaction in the broader social economy. This involved a highly regulated, sensitive market. Here, our team once again demonstrated its expertise in assessing heavily state-controlled markets.
