The Cologne-based maconda consulting team’s extensive experience with technological products, mechanical and plant engineering, and automation technology, as well as its excellent reputation for conducting Commercial Due Diligence engagements, formed the basis for an engagement from the WAGNER Group, which operates in 50 countries, headquartered in Markdorf on Lake Constance. It related to a specialised mechanical engineering company from North Rhine-Westphalia, which has now been acquired by WAGNER.

Commercial Due Diligence for Reinhardt-Technik

With 1,300 employees worldwide and subsidiaries and representatives in more than 50 countries, the WAGNER Group is the market leader in the manufacture of high-end technological equipment for industrial wet paint or powder coating. It has now acquired Reinhardt-Technik GmbH from Kierspe near Gummersbach. Reinhardt’s core competence is the processing of liquid plastics for applications in the areas of bonding & sealing, potting technology and surface treatment. System integration and process control are an integral part of its services. “With Reinhardt, we want to complement the WAGNER portfolio and further expand our ‘Adhesives & Sealants’ business internationally,” said Hubert Riek, managing director of WAGNER and Chairman of the Management Board of the Wagner Industrial Solutions division.

This was preceded by a careful analysis of Reinhardt-Technik by maconda’s due diligence specialists. This included an assessment of the market potential in the customer markets in which Reinhardt is particularly active—glass industry (windows), renewable energy, wind energy and electrical engineering, as well as automotive and bus/truck/rail (BTR)—as well as the fundamental future viability of the technology offered and possible substitutes.

Another focus was the analysis of Reinhardt’s product portfolio as well as the review and discussion of the company’s strategy in the end markets it serves. For this purpose, maconda’s consultants delved deeply into bonding, sealing and potting technology. “The results of the maconda team’s analyses of Reinhardt-Technik’s market potential and growth opportunities made a significant contribution to our purchase decision. Their in-depth knowledge of the market and their critical and very meticulous approach truly impressed us,” commented WAGNER managing director Riek.

Joining materials—metal, glass, plastic and composite materials—is ubiquitous, and many products are manufactured in this way. In recent years, bonding has increasingly replaced traditional joining techniques, and Reinhardt-Technik recognised this trend early on.
